Company Secretary Ireland

EUROPROTOCOL LIMITED – Irish Company Formation, Company Secretary & Section 137 Bond

Client

EuroProtocol Limited, Training & Consultancy

Challenge

When EuroProtocol decided to set up an Irish limited company, the director was living in the United Kingdom.
Under Irish company law, every company must have at least one director who resides in the EEA (European Economic Area). Because the director was based in the UK (outside the EEA), she was required to either appoint an EEA-resident director or secure a Section 137 Bond.

In addition, the client needed full support with:

  • Preparing incorporation documentation for the Companies Registration Office (CRO)
  • Verifying identity and address under AML regulations
  • Setting up the Registered Office and Company Secretary in Ireland

Ensuring post-incorporation compliance, including RBO (Register of Beneficial Ownership) filing and Annual Return management.

Forti’s Solution

Forti Ltd managed the entire process — from pre-incorporation guidance to post-registration compliance — ensuring that EuroProtocol was registered smoothly and met every Irish legal requirement.

Summary

FAQs on Company Formation and Section 137 Bond in Ireland

Yes. A non-EEA resident can form an Irish company, but they must either appoint an EEA-resident director or secure a Section 137 Bond under the Companies Act 2014.

A Section 137 Bond is a two-year insurance bond that covers potential penalties if a company with no EEA-resident director breaches certain Irish laws. It allows non-EEA directors to legally incorporate an Irish company.

Any company whose directors all live outside the EEA must obtain a Section 137 Bond unless at least one director is resident in an EEA country.

With complete documents, incorporation usually takes 3–5 working days once filed with the Companies Registration Office (CRO).

Companies must file:

  • Annual Return every year
  • Beneficial Ownership (RBO) details within 5 months of incorporation
  • Maintain a Registered Office and Company Secretary in Ireland
